Terms of Service

1. Acceptance of Terms

By accessing and using the Tenzy mobile application (the "App"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. License to Use App

Tenzy grants you a limited, non-exclusive, non-transferable license to use the App for personal, non-commercial purposes, subject to the restrictions in these Terms of Service.

You agree not to:

• License, sell, rent, lease, transfer, assign, or otherwise dispose of the App
• Modify or translate the App
• Reverse engineer, disassemble, decompile, or otherwise attempt to derive the source code

3. Account Creation and Responsibilities

3.1 Registration

To use certain features of the App, you must create an account by providing a valid email address, a username (display name), and a secure password.

3.2 Account Responsibilities

You are responsible for:

• Maintaining the confidentiality of your account credentials
• Keeping your account information accurate and current
• Notifying us immediately of any unauthorized use of your account
• All activity that occurs under your account

You agree to provide accurate, current, and complete information during registration and to update your information as needed.

4. Subscription and Billing

4.1 Free Tier

The App offers a free tier that includes access to create and manage up to 3 study guides, basic study features, and limited analytics.

4.2 Premium Subscription

Premium subscriptions are available at $9.99/month (or local equivalent) and include unlimited study guides, advanced study modes, enhanced analytics and insights, and priority support (if available).

4.3 Billing and Auto-Renewal

• Subscriptions are billed monthly through Apple In-App Purchase (iOS) or Google Play Billing (Android)
• Subscriptions automatically renew at the end of each billing period unless canceled
• Billing occurs through the platform (Apple App Store or Google Play Store), not directly by Tenzy

4.4 Cancellation

To cancel your subscription:

• iOS: Open the App Store app → Account → Subscriptions → Tenzy → Cancel Subscription
• Android: Open Google Play app → Account → Manage Subscriptions → Tenzy → Cancel Subscription

Cancellation will take effect at the end of your current billing cycle. You will retain access to Premium features until your subscription expires.

4.5 No Refunds

Except as required by law, subscriptions are non-refundable. Refund requests must be submitted through Apple or Google's respective stores.

5. Content Ownership and License

5.1 User-Generated Content

You retain full ownership of all study content you create or upload, including study guides, terms and definitions, categories and organizational structures, and notes and annotations.

5.2 License to Tenzy

By uploading or creating content in the App, you grant Tenzy a non-exclusive, worldwide, royalty-free license to store and host your content, display your content within the App, use anonymized aggregated content for analytics and service improvement, and back up your content for disaster recovery.

5.3 Content Restrictions

You agree not to upload or create content that infringes on third-party intellectual property rights, is illegal, obscene, defamatory, or harmful, contains malware or harmful code, or violates any applicable laws.

6. Prohibited Uses

You agree not to:

• Illegal Activity: Use the App for any illegal purpose or in violation of any laws
• Scraping: Automated collection, scraping, or extraction of content from the App
• Abuse: Spam, harassment, threats, or abuse of other users
• Unauthorized Access: Attempt to gain unauthorized access to the App or its systems
• Malware: Transmit viruses, malware, or malicious code
• Disruption: Attempt to disrupt or overload the App's servers or services
• Intellectual Property: Violate or infringe on others' rights

7. Disclaimers

7.1 "As Is" Provision

The App is provided on an "as is" and "as available" basis. Tenzy makes no warranties, express or implied, regarding the accuracy, reliability, suitability, or uninterrupted operation of the App.

7.2 No Guarantee of Availability

We do not guarantee that the App will be available at all times. The App may be subject to scheduled maintenance, unexpected outages, technical difficulties, and service interruptions. We will make reasonable efforts to notify users of planned downtime.

7.3 Learning Outcomes

Tenzy does not guarantee any specific learning outcomes, grade improvements, or academic success. The effectiveness of using Tenzy depends on individual effort, study habits, and other factors outside our control.

8. Limitation of Liability

To the fullest extent permitted by law, Tenzy shall not be liable for any indirect, incidental, special, consequential, or punitive damages, loss of data, profits, revenue, or business opportunities, damages arising from service interruptions, or user error or misuse of the App.

In no event shall Tenzy's total liability exceed the amount you paid for the App in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless Tenzy, its founders, employees, and agents from any claims, damages, losses, or expenses arising from your use of the App, your violation of these Terms, your violation of any applicable law, your infringement of any third-party rights, or user-generated content you create.

10. Termination

10.1 Termination by Tenzy

Tenzy may terminate or suspend your account if you violate these Terms of Service, your conduct is harmful or abusive, you engage in illegal activity, or your account shows suspicious or fraudulent activity. Termination will result in loss of access to your account and stored content.

10.2 Termination by You

You may terminate your account at any time by deleting it through the App's Settings.

11. Changes to Terms

Tenzy may modify these Terms of Service at any time. We will update the effective date, post a prominent notice in the App, and require your explicit consent for material changes if required by law.

Your continued use of the App after changes become effective constitutes your acceptance of the updated terms.

12. Governing Law and Jurisdiction

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Colorado, United States, without regard to its conflict of law provisions.

Any legal action or proceeding related to these Terms of Service shall be brought exclusively in the courts located in the State of Colorado, United States.

13. Entire Agreement

These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and Tenzy regarding your use of the App and supersede all prior agreements.

14. Severability

If any provision of these Terms of Service is found to be unenforceable or invalid, the remaining provisions shall continue in full force and effect.
